| 09 | Risk Management Procedures RISK MANAGEMENT PROCEDURES |
In accordance with its risk management policies and internal control system, the Company has established a risk management framework under which the Board of Directors bears ultimate oversight responsibility, while management, all operating units, and the Audit Office jointly carry out risk management activities. The Company periodically identifies risks that may arise from its business operations, assesses their likelihood of occurrence and potential impact, formulates corresponding preventive, control, and improvement measures based on the assessed level of risk, and continuously monitors the effectiveness of their implementation.
In addition, the Company's management systems are subject to periodic internal reviews and audits in accordance with the Procedures for Self-Assessment of Internal Controls to confirm the effectiveness of its internal control and risk management mechanisms.
During 2025, the Company continued to apply its existing risk management and internal control mechanisms to identify, assess, and manage risks relating to corporate governance, regulatory compliance, ethical corporate management, information security, human rights, supply chain management, occupational health and safety, and environmental matters.
With respect to human rights risk management, the Company conducted risk identification and assessment covering all employees and tier-one suppliers and established a risk matrix based on the likelihood of occurrence and severity of impact. Priority topics for employees included occupational health and safety, wages and working hours, and privacy rights. Key supplier risks related primarily to wages and working hours and occupational health and safety. Measures taken included workplace inspections, safety education and training, attendance and payroll reviews, personal data access controls, and requirements for suppliers to submit corrective action plans.
The Company also reviews the effectiveness of its risk mitigation and remediation measures annually. If a material risk is identified or corrective measures fail to achieve the intended results, the relevant units or suppliers are required to complete corrective actions within a specified timeframe and remain subject to ongoing follow-up. The Company also maintains grievance and whistleblowing channels through which employees, suppliers, and other stakeholders may raise related concerns.
With respect to corporate governance and regulatory compliance, the Company continuously monitors changes in domestic and foreign laws and regulations and, based on the results of its regulatory identification process, reviews the adequacy of its internal rules. During 2025, the Company continued to comply with the Ethical Corporate Management Best Practice Principles, Code of Ethical Conduct, and Sustainable Development Best Practice Principles, and implemented its ethical management and regulatory compliance requirements through education and training, internal communications, and supplier management.
With respect to the overall implementation results for 2025, the Company reported zero incidents of corruption, zero material information security violations, zero material regulatory penalties, and zero occupational accidents, indicating that its controls over corporate governance, information security, and occupational health and safety risks continued to operate effectively.
